AGREEMENT between____________________________________

at___________________________________________________ (hereinafter referred to as the
"Client"), and kvcindia.com as part of kvcinfo Pvt. Ltd. in Delhi, India. The
client is engaging kvcindia.com as part of kvcinfo Pvt. Ltd., to work at an hourly rate
(time and material) towards developing and/or improving a World Wide Website. The initial
phase of this agreement is ....... This agreement can be extended to more hours only if
both parties agree.
Rates: The client agrees that this work is done on an hourly basis
only. This means that kvcinfo bills for actual hours worked. The rate for this work will
be $$$ per hour. This will be for all work pertaining to the development of the website.
This includes but is not limited to research, planning, design, client communication,
coding, conceptualizing, graphic design, analysis, documentation and web research.
Billing: kvcindia.com as part of kvcinfo will receive ? % advance
payment of $$ for the phase of work. If both parties agree to continue, then kvcinfo will
bill on the 1st and 15th of the month for the hours worked during that period.
Rate of Completion of Work: Please send us your final content. Time
required to make substantive changes to client submitted text after the web pages have
been constructed will be additional, billed at hourly rates.
Web Hosting Service: The client agrees to select a web hosting
service which allows kvcinfo Pvt. Ltd. full access to the website (and a cgi-bin directory
if applicable)
Completion Date: kvcinfo Pvt. Ltd. and the client agree to work
together to complete the website in a timely manner. kvcindia.com as part of kvcinfo Pvt.
Ltd. agrees to work expeditiously to complete the website.
Payment of Fees: Fees to kvcindia.com as part of kvcinfo Pvt. Ltd.
are due and payable on the following schedule: All payments will be made to an India
Bank and sent by wire to:(to be provided when needed) Please specify that the wire is for
web development
Bank Address: (to be provided when needed)
Assignment of Project: kvcindia.com as part of kvcinfo Private
Limited reserves the right to assign portions of this project to subcontractors to ensure
the right expertise for the job as well as on-time completion.
Copyrights and Trademarks: The client represents to kvcindia.com as
part of kvcinfo Private Limited and unconditionally guarantees that any elements of text,
graphics, photos, designs, trademarks, or other artwork furnished to kvcindia.com as part
of kvcinfo Private Limited for inclusion in web pages are owned by the client, or that the
client has permission from the rightful owner to use each of these elements, and will hold
harmless, protect, and defend kvcinfo Private Limited and its subcontractors from any
claim or suit arising from the use of such elements furnished by the client
Non Payment of Fees: If an amount remains delinquent 10 days after
its due date, an additional 5% penalty will be added for each month of delinquency.
kvcindia.com as part of kvcinfo Private Limited reserves the right to retain the
administration details of the client's website until final payment is made. In case
collection proves necessary, the client agrees to pay all fees incurred by that process.
Initial Payment and Refund Policy: The total amount of this
contract is $$. This agreement begins with an initial payment of $$. If the client halts
work and applies by DHL delivered letter for a refund within 30 days, to the Managing
Director of kvcindia.com as part of kvcinfo Private Limited, Delhi, INDIA , work completed
shall be billed at the hourly rate stated above, and deducted from the initial payment.
The balance of which shall be returned to the client. If, at the time of the request for
refund, work has been completed beyond the amount covered by the initial payment, the
client shall be liable to pay for all work completed at the hourly rate stated above. No
portion of this initial payment will be refunded unless written application is made within
30 days of signing this contract.
Limited Liability: After the client has approved the site and
payment has been made in full kvcindia.com as part of kvcinfo Pvt. Ltd. is not liable for
the quality and performance of the Web pages and Website. In no event will kvcinfo Pvt.
Ltd. be liable to the client or any third party for any damages, including any lost
profits, lost savings or other incidental or special damages arising out of the operation
of or inability to operate these Web pages or Website.
Confidentiality: kvcindia.com as part of kvcinfo will keep
confidential information regarding the development of the website.
Code: All codes developed by kvcindia will be turned over to the
client but kvcinfo retains the right to use them again in the future.
Hosting Company: The client hereby authorizes kvcindia.com as part
of kvcinfo Pvt. Ltd. to access this account, and authorizes the web hosting service to
provide kvcindia.com as part of kvcinfo Pvt. Ltd. with "write permission" for
the client's web page directory, cgi-bin directory, and any other directories or programs
which need to be accessed for this project. The client also authorizes kvcinfo Pvt. Ltd.
to publicize their completed website to Web search engines, as well as other Web
directories and indexes.
Reporting: Each week kvcindia.com as part of kvcinfo will email to
the client a summary of hours expended on the project during the prior week and a summary
of the status of the project. The undersigned agrees to the terms of this agreement on
